1. Who these Terms are between

These Terms of Use ("Terms") govern the User's access to and use of the website located at kinagent.ai (the "Site"), operated by DigiBo AI Technologies Private Limited ("DigiBo"), a company incorporated under the Companies Act, 2013, having its registered office at 119/492 Darshan Purva, Kalpi Road, Kanpur – 208012, Uttar Pradesh, India (CIN: U62099UP2026PTC249933).

"User" means any person who accesses or uses the Site, whether or not that person goes on to become a client.

By accessing or using the Site, the User agrees to be bound by these Terms. If the User does not agree, the User must not use the Site.

2. What the Site is — and what it isn't

The Site is DigiBo's public marketing and informational website for its product, Kin Agent — an AI agent-employee platform. The Site describes the product, publishes content about it, and lets visitors get in touch or request access.

The Site itself does not host client accounts or the working product. Once the User is onboarded as a client, the Kin Agent platform is accessed separately, at console.kinagent.ai (the "Console"). The User's use of the Console, and DigiBo's provision of the Kin Agent service to the User, is governed by a separate agreement between the User (or the User's organisation) and DigiBo — including DigiBo's Master Services Agreement and the applicable Order Form or Service Schedule — and not by these Terms. Where anything in these Terms conflicts with that separate agreement for matters concerning the Console or the service itself, that agreement controls.

These Terms apply only to the User's use of the public Site: browsing it, reading it, submitting an enquiry, or otherwise interacting with it before any such separate agreement is in place.

3. Who can use the Site

Kin Agent is a business-to-business product built for Indian mid-market and small businesses. By using the Site, the User confirms that:

(a) the User is at least 18 years old and capable of entering into a binding contract under the Indian Contract Act, 1872; and

(b) if the User is using the Site or submitting an enquiry on behalf of a business or other organisation, the User has the authority to bind that organisation to any resulting agreement.

The Site is not directed at, and DigiBo does not knowingly permit its use by, anyone under the age of 18.

4. Acceptable use

The User agrees not to, and not to permit anyone else to, in connection with the Site:

(a) use the Site for any unlawful purpose, or in a way that violates any applicable Indian law, including the Information Technology Act, 2000 and rules made under it;

(b) attempt to gain unauthorised access to the Site, any account, or any system or network connected to the Site;

(c) introduce any virus, malware, or other harmful code, or interfere with the Site's normal operation, including by way of denial-of-service attacks, scraping at a disruptive scale, or circumventing any security measure;

(d) copy, reproduce, republish, frame, or create derivative works from the Site's content except as expressly permitted under Clause 5;

(e) impersonate any person or entity, or misrepresent the User's affiliation with any person or entity, including DigiBo; or

(f) submit false, misleading, or fraudulent information through any form or enquiry on the Site.

DigiBo may suspend or restrict the User's access to the Site, without notice, if DigiBo reasonably believes the User has breached this Clause 4.

5. Intellectual property

All content on the Site — including text, graphics, logos, the "Kin", "Kin Agent" and "DigiBo" names and marks, product descriptions, illustrations, and the Site's design and layout — is owned by DigiBo or its licensors and is protected by Indian and international intellectual property laws.

The User may view, download, and print content from the Site for the User's own personal or internal business reference in connection with evaluating Kin Agent. The User may not otherwise reproduce, distribute, modify, publicly display, sell, or exploit any content from the Site without DigiBo's prior written consent.

Nothing in these Terms transfers any intellectual property right in the Site or its content to the User.

6. Enquiries, submissions, and feedback

If the User submits information to DigiBo through a contact form, request-a-demo form, or similar feature on the Site (for example, the User's name, company, and contact details), the User consents to DigiBo using that information to respond to the enquiry and, where the User has agreed to it, to contact the User about Kin Agent. This use is described further in DigiBo's Privacy Policy.

If the User sends DigiBo feedback, suggestions, or ideas about the Site or Kin Agent, the User agrees that DigiBo may use them freely, without any obligation to the User and without compensation, to improve DigiBo's products and services.

7. Third-party links

The Site may link to third-party websites or services (for example, DigiBo's social media pages) that DigiBo does not control. DigiBo is not responsible for the content, accuracy, or practices of any third-party site, and a link does not imply DigiBo's endorsement of it. The User's use of any third-party site is at the User's own risk and subject to that site's own terms.

8. No warranty

The Site and its content are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or that the Site will be uninterrupted, secure, or error-free.

Nothing on the Site constitutes a binding offer, a guarantee of results, or professional advice of any kind. Descriptions of Kin Agent's capabilities on the Site are illustrative and are superseded, for any client, by the specific commitments made in that client's Order Form, Master Services Agreement, and Service Level Agreement.

9. Disclaimer of consequential loss

To the maximum extent permitted under applicable Indian law, DigiBo will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profit, revenue, data, or business opportunity, arising out of or relating to the User's use of, or inability to use, the Site — even if DigiBo has been advised of the possibility of such damages.

10. Limitation of liability

To the maximum extent permitted under applicable Indian law, DigiBo's total aggregate liability to the User arising out of or relating to the User's use of the Site, under any theory of liability, will not exceed ₹10,000 (Indian Rupees ten thousand).

This Clause 10 does not apply to, and does not limit, DigiBo's liability under any separate agreement (such as a Master Services Agreement) the User may enter into with DigiBo for the Kin Agent service — liability under that agreement is governed by its own terms.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable Indian law, including liability for fraud or wilful misconduct.

11. Indemnity

The User agrees to indemnify and hold DigiBo, its directors, employees, and agents harmless from any claim, loss, liability, or expense (including reasonable legal fees) arising out of the User's breach of these Terms or the User's misuse of the Site.

12. Changes to the Site and these Terms

DigiBo may update, modify, or discontinue the Site, or any part of it, at any time without notice.

DigiBo may revise these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date. The User's continued use of the Site after a revision takes effect constitutes the User's acceptance of the revised Terms. If a revision is material, DigiBo will make reasonable efforts to flag it prominently on the Site.

13. Suspension and termination

DigiBo may suspend or terminate the User's access to the Site, at any time and without notice, if DigiBo reasonably believes the User has violated these Terms or if DigiBo discontinues the Site. Clauses 5, 8, 9, 10, 11, and 14 survive any termination of the User's access.

14. Governing law and dispute resolution

These Terms are governed by the laws of India.

Arbitration. Any dispute, controversy, or claim arising out of or relating to these Terms, including any question regarding their existence, validity, or termination, will be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by mutual agreement of the parties. The seat and venue of arbitration will be New Delhi, India, and the language of arbitration will be English.

Courts. Subject to the arbitration agreement above, the courts at Kanpur, Uttar Pradesh will have exclusive jurisdiction over any matter not required to be arbitrated — including any application for interim or emergency relief in aid of arbitration.

15. General

Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force.

No waiver. DigiBo's failure to enforce any provision of these Terms is not a waiver of DigiBo's right to do so later.

Entire agreement. For the User's use of the Site (as distinct from the User's use of the Console or the Kin Agent service, which is governed by separate agreements per Clause 2), these Terms, together with DigiBo's Privacy Policy, constitute the entire agreement between the User and DigiBo.

Assignment. The User may not assign or transfer the User's rights under these Terms. DigiBo may assign these Terms in connection with a merger, acquisition, or sale of assets, or by operation of law.
