Refund and Cancellation Policy

1. Scope

This Policy explains how billing, cancellation, and refunds work for a standard Kin Agent subscription, taken out by a client organisation (the "Client") through console.kinagent.ai. It is published by DigiBo AI Technologies Private Limited ("DigiBo"), CIN U62099UP2026PTC249933, registered office 119/492 Darshan Purva, Kalpi Road, Kanpur – 208012, Uttar Pradesh, India.

This Policy applies to the standard, published pricing and terms available through the Console. If the Client has a separately negotiated commercial arrangement with DigiBo (for example, a bespoke pilot or a discounted agreement — see Clause 7), the terms in that written arrangement take priority over this Policy wherever they conflict with it.

2. Activation date

Each Kin has its own "activation date" — the point its billing starts — defined as whichever happens first:

(a) the date the Client's designated Manager begins teaching that Kin; or

(b) 7 days after the Client hires that Kin (whether or not training has started by then).

This means billing doesn't stay open-ended if training is delayed — if the Client has not started teaching a newly hired Kin within 7 days, its activation (and billing) starts automatically at that 7-day mark.

3. Billing cycle

To keep billing simple while still lining up with calendar months, each Kin's billing runs in three stages:

  1. First period — one full month. Starting on the Kin's activation date, the first billing period covers a full month (for example, activation on 11 September means the first period runs 11 September – 10 October), charged at the full standard monthly rate. DigiBo charges a full month upfront (rather than a part-month) so the payment authorisation is for a clean, round amount.
  2. Second period — a shorter bridge to the calendar month. The period immediately after that runs from the end of the first period to the end of that calendar month (continuing the example: 11 October – 31 October), charged on a pro-rata basis for the number of days it actually covers.
  3. Every period after that — the calendar month. From here on, that Kin is billed for each full calendar month (1st to the last day of the month), at the full standard monthly rate.

Multiple Kins. If the Client's account has more than one Kin, each Kin's billing follows this same three-stage pattern from its own activation date, until it lines up with the calendar-month cycle described in stage 3 — so a Kin added later in the month goes through its own "full month, then bridge" period before settling into the same 1st-to-last-day rhythm as the rest of the account.

DigiBo currently anchors billing this way for every client. DigiBo may in future let clients choose a different cycle; until then, the rule above applies across the board.

4. Payment terms and modes

Fees are charged in Indian Rupees (INR); DigiBo may support other currencies for clients outside India in the future. Fees are exclusive of applicable taxes unless stated otherwise — GST is charged in addition to the subscription fee, and invoices are issued against GSTIN 09AAMCD8720B1ZO.

DigiBo supports two payment modes:

(a) Payment Gateway (PG). The default, self-serve mode. The Client authorises a payment method (card/UPI mandate) through DigiBo's payment gateway at signup, and each billing period's fee (Clauses 2–3) is charged automatically to that payment method at the start of the period. If a renewal payment fails, DigiBo will notify the Client and give the Client a reasonable opportunity to update the payment method before suspending the service.

(b) Purchase Order (PO). For clients paying against an internal purchase order. This mode is still selected through the Console when the Client hires a Kin, like Payment Gateway — the Client will need an access code from DigiBo, in addition to the Client's PO number, before the Console will accept PO as the Client's payment mode. Once set up, DigiBo issues an invoice referencing the Client's PO number ahead of each billing period; the Client pays by bank transfer and shares the UTR (transaction reference) along with the PO number and invoice reference by email to billing@kinagent.ai. There's no automatic card charge in this mode — continued service depends on payment reaching DigiBo against each invoice within the agreed payment window. Late or non-payment may result in suspension after notice, on the same basis as Clause 4(a).

5. The one-time, 7-day performance refund

If this is the first time the Client has subscribed to Kin Agent, the Client has 7 days from the relevant Kin's activation date to request a full refund of the Client's first payment for that Kin if the Client is not satisfied with its performance. If the Client requests a refund within that window, DigiBo will refund the first payment in full and cancel that subscription.

This refund right is available once per client organisation — it applies to the Client's first Kin's first subscription payment only, and doesn't reset or reapply on later renewals, additional Kins, or a subscription the Client restarts after cancelling. To request it, the Client should write to billing@kinagent.ai within the 7-day window.

6. Cancellation

The Client can cancel its subscription at any time through the Console or by writing to billing@kinagent.ai.

What happens on cancellation: cancellation stops the next billing period from starting — whether that's a future PG auto-renewal charge or a future PO invoice. The Client's Kin(s) continue to run for the remainder of the billing period already paid for, and the service ends at the close of that period. For example, if the Client has paid through 10 October and cancels on 1 October, the Client's Kin keeps working until 10 October, and the Client's account is deactivated after that.

No refund is given for the unused portion of a billing period already paid for. Cancelling mid-period doesn't shorten what has already been paid for or entitle the Client to a partial refund — it simply stops the next charge or invoice.

7. Negotiated pilots and discounted arrangements

Outside the standard terms above, DigiBo may agree free pilots, discounted rates, or other bespoke commercial terms with specific clients, on a case-by-case basis. Where DigiBo does, those terms are set out in a separate written agreement (an Order Form, side letter, or similar) between DigiBo and that client, and govern instead of this Policy for that client's arrangement. This Policy describes the standard, published terms available by default through the Console.

8. No refunds beyond Clauses 5 and 7

Other than the one-time refund window in Clause 5, or any refund terms separately agreed in writing under Clause 7, fees already paid are non-refundable — including in cases of a client's change of mind, reduced usage, or early cancellation partway through a paid period. This doesn't affect any right the Client may separately have under DigiBo's Service Level Agreement (once published) to a service credit for downtime, or any statutory right that cannot be excluded under Indian law.

9. How refunds are processed

Where a refund is due under this Policy, DigiBo processes it to the original payment method used (for PG payments) or by bank transfer to the account the payment originated from (for PO payments), generally within 7–10 business days of approving the refund. The exact time it takes to reflect in the Client's account depends on the Client's bank, card issuer, or payment gateway, and is outside DigiBo's control.

10. Disputes and chargebacks

If the Client believes it has been incorrectly charged, the Client should contact DigiBo at billing@kinagent.ai before raising a chargeback or payment dispute with its bank, card issuer, or gateway — most billing issues can be resolved faster this way. DigiBo reserves the right to suspend a Kin Agent account while a disputed charge is under review.

11. Changes to this Policy

DigiBo may update this Policy from time to time. The updated version will be posted here with a revised "Last updated" date, and will apply to billing periods starting after that date.

12. Governing law and disputes

This Policy is governed by the laws of India. Disputes are subject to the same arbitration and jurisdiction terms as DigiBo's Terms of Use — arbitration seated in New Delhi under the Arbitration and Conciliation Act, 1996, with the courts at Kanpur, Uttar Pradesh retaining jurisdiction over matters not subject to arbitration.
